5. Payment Terms

Payment terms for services will be specified in individual service agreements. General payment terms include:

  • Payment is due according to the schedule outlined in the service agreement

  • Late payments may incur interest charges and service suspension

7. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables will be outlined in service agreements.

EXCEPT AS EXPRESSLY PROVIDED IN SERVICE AGREEMENTS, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRUXIM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

You agree to indemnify and hold harmless Cruxim, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

In the event of any dispute, both parties agree to first attempt to resolve the matter through good-faith negotiations.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where services are provided, as specified in individual service agreements.

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Cruxim regarding the use of our services and supersede all prior agreements and understandings.
